U.S. Industry Guide 7 is the core rule governing disclosures of U.S. reporting companies with significant mining operations. It has long been out of sync with other international reporting regimes, and the SEC has finally taken on Guide 7 for rule making. This presentation will outline the current requirements of Industry Guide 7 and their impacts on U.S. mining companies. It will discuss the efforts and proposals made by SME to encourage a revision of Guide 7, and the current status of rulemaking efforts at the SEC. It will also discuss the status of various other SEC rules affecting mining companies.

Michelle Shepston’s principal practice areas include securities, corporate finance, and mergers and acquisitions for public and private companies. She has represented clients in domestic and cross-border public equity and debt offerings, joint ventures, private placements, and public and private merger and acquisition transactions.
