Registration terms and conditions
These terms govern registration for and attendance at the Event. Please read them before you register. They include an assumption of risk in section 8, a release in section 9, and limits on our liability in section 16.
1Agreement to these terms
These terms govern registration for and attendance at a Mining Forum (the “Event”), produced by Denver Gold Group, Inc. (“DGG”, “we”, “us”). By completing registration you agree to them.
We may revise these terms by publishing the revised version on this website. The version in force when your registration is accepted governs that registration, and a later revision does not change terms you have already agreed to.
2Who is bound
These terms bind the person named on the registration and, where a registration is placed by a company or by another person on that person's behalf, the company placing it.
If you register on behalf of another person, you warrant that you are authorized to accept these terms on that person's behalf and that you have brought them to that person's attention.
Each attendee is asked to acknowledge these terms before Event credentials are issued. Credentials will not be released to an attendee who has not done so.
3Registration and eligibility
Registration is personal to the named attendee. Credentials may not be shared, lent, resold, or used by more than one person.
Attendance in certain registration categories is by invitation or subject to eligibility criteria published with the registration form. DGG may verify eligibility and may decline or cancel a registration that does not meet the stated criteria, in which case fees paid for that registration are refunded in full.
DGG may decline any registration at its discretion.
4Fees and payment
Fees are those published for the Event at the time of registration. Pricing is determined by the date payment is received. Discounted or date-specific pricing will not be honored for payments received after the stated due date.
Fees cover attendance at Event sessions and the functions identified in the published program. They do not cover travel, accommodation, or any cost not expressly stated.
5Currency
Fees are published in US dollars. Where our payment provider permits, you may pay in another currency supported by your card. The conversion rate is determined by your card issuer or by the payment provider, not by DGG, and any foreign exchange or cross-border fee is for your account.
6Taxes
Published fees are exclusive of sales, use, excise, and similar transaction taxes. DGG charges and remits those taxes where required, and any applicable tax is shown at checkout.
DGG's exemption from United States federal income tax as a business league (not-for-profit) under IRC 501(c)(6) relates to income tax only. It does not exempt any registration from sales, use, or any other transaction tax.
7Cancellation by you, refunds and substitutions
Cancellation notices and refund requests must be received in writing.
Refunds of attendee fees are made on the schedule declared upon registration.
There is no fee for delegate substitutions, and you may substitute at any time. Substitutions are subject to the substitute meeting the eligibility criteria for the registration category.
Refund processing takes 30 to 45 days.
8Assumption of risk
Attendance at the Event carries risks. These include, but are not limited to:
- exposure to communicable disease, including in crowded indoor settings and at receptions and meals
- slips, trips, and falls
- injury arising from the condition of the venue, its grounds, or its equipment
- injury during transport arranged by or in connection with the Event
- injury during optional activities, tours, site visits, or off-site functions
- loss of, theft of, or damage to personal property
- interruption, delay, or cancellation of travel and accommodation
You acknowledge that these risks exist, that they cannot be eliminated, and that they may arise from circumstances outside DGG's control. You voluntarily accept them and take responsibility for your own safety and property at the Event.
You are responsible for arranging your own travel, medical, and personal property insurance. DGG does not provide insurance for attendees.
9Release and waiver
Read this section carefully. It affects your legal rights.
On your own behalf and on behalf of your heirs, successors, assigns, and personal representatives, you release, covenant not to sue, discharge, and hold harmless DGG, the operator of the Event venue, any professional conference organiser engaged for the Event, their affiliates, and their respective officers, directors, employees, agents, volunteers, and representatives (the “Released Parties”) from all liabilities, claims, actions, damages, costs, and expenses of any kind arising out of or relating to your attendance at the Event.
This release extends to claims based on the ordinary negligence of the Released Parties, and applies whether a communicable disease infection occurs before, during, or after the Event, and in any role in which you attend.
This release does not extend to, and nothing in these terms limits, liability for gross negligence, or for wilful and wanton, reckless, or intentional conduct, or any liability that cannot lawfully be released under Colorado law. If any part of this section is held unenforceable, the remainder of the section continues in effect.
10Conduct and removal
DGG may remove from the Event, without refund, any person whose conduct disrupts the Event, endangers others, damages the venue, or constitutes harassment of any attendee, participant, speaker, supplier, or member of staff.
You agree to comply with the rules of the venue and with the reasonable directions of DGG, venue staff, and any governmental authority.
11Media, photography and recording
DGG photographs, films, records, and livestreams the Event. By attending, you acknowledge that you may appear in that material, and you grant DGG a perpetual, worldwide, royalty-free license to use your name, likeness, voice, and statements in coverage of the Event through Mining Forum Live, in promotional material, and in archival records, without further compensation.
If you do not wish to appear in identifiable footage, tell us at registration or at the registration desk on site, and we will do what is reasonably practicable to accommodate you.
12Recording by attendees
You may not record, photograph, stream, or transmit any presentation or meeting at the Event without the prior written consent of DGG and of the presenting company.
Presentation content remains the property of the presenting company. Materials distributed at the Event are for your own use and may not be redistributed or published without permission.
13No investment advice, no offer or recommendation
The Event, and the information and materials presented at it, do not constitute and must not be construed as a recommendation, or as investment, legal, tax, or accounting advice, concerning the purchase, sale, or other disposition of any security, commodity, or other investment.
DGG is not a broker-dealer, investment adviser, placement agent, or underwriter, and is not registered as such in any jurisdiction. DGG does not endorse, recommend, or verify any participating company, its management, its disclosures, or its securities. Nothing at the Event is an offer to sell or a solicitation of an offer to buy any security.
No investment decision should be made in reliance on any information or material presented or obtained at the Event. Before making any investment decision, you should seek advice from your own financial, legal, tax, and accounting advisers, consider your individual circumstances, and consider the risks involved.
You are responsible for your own compliance with the securities and disclosure laws applicable to you, including those governing material non-public information.
14Content and accuracy
Statements made at the Event are those of the participating company or speaker, not of DGG.
DGG makes no express or implied condition, representation, warranty, or other term as to the accuracy, validity, reliability, timeliness, or completeness of any information or material presented, whether generally or for any particular purpose. DGG does not represent or endorse the accuracy or reliability of any third-party advice, opinion, statement, information, or material received at the Event.
15Cancellation, postponement and relocation by DGG
DGG is not liable for any failure or delay in holding the Event due to war, civil unrest, fire, strike, labor dispute, government regulation or order, travel restriction, terrorism, public catastrophe, epidemic, pandemic, public health emergency, disease, act of God, act of public enemy, failure or unavailability of the venue, or any other cause beyond DGG's reasonable control.
If such an event prevents or materially impairs the Event as planned, DGG may postpone, reschedule, relocate, or convert it to a virtual or hybrid format. Your registration transfers to the substituted event and no refund is due.
If DGG cancels the Event outright without substitution, DGG will, at your election, apply your fee as a credit toward the next edition of the Event or refund it net of DGG's documented non-recoverable costs allocable to your registration. This is your sole and exclusive remedy for cancellation by DGG.
DGG is not responsible for your travel or accommodation costs, or for any cancellation charge you incur, in any of these circumstances.
16Limitation of liability
DGG's aggregate liability arising out of or relating to your registration or the Event, whether in contract, tort, or otherwise, is limited to the fees you paid to DGG for the Event.
DGG is not liable for lost profits, lost business, lost investment opportunity, or any indirect, incidental, special, punitive, or consequential damages, whether or not advised of the possibility of such damages.
Nothing in this section limits liability that cannot lawfully be limited, including as described in sections 9 and 18.
17Privacy
Personal data collected through registration and at the Event is handled in accordance with our Privacy Policy. Cookies used on this site are described in our Cookie Policy.
Registration data, including your name, title, company, and business contact details, may be shared with other Forum participants if you have completed a 1x1 meeting with them, as described in the Privacy Policy.
18Your statutory rights
Nothing in these terms excludes, restricts, or modifies any right or remedy available to you under applicable state or federal consumer protection law that cannot lawfully be excluded, restricted, or modified.
Some states do not allow the exclusion of certain warranties or the limitation of certain damages. Where that is the case, the exclusions and limitations in these terms apply to you only to the extent the law permits.
19Governing law and venue
These terms are governed by the laws of the State of Colorado, without regard to its conflict of laws principles.
The parties submit to the exclusive jurisdiction of the District Court of Jefferson County, Colorado, and of the United States District Court for the District of Colorado, and waive any objection to venue in those courts, including on grounds of forum non conveniens.
20General
These terms, together with the registration confirmation and the published fee and refund schedule, are the entire agreement between you and DGG as to the Event, and supersede prior discussions.
Registration may not be transferred or assigned other than by a substitution permitted under section 7.
If any provision is held unenforceable, the remainder continues in effect and the unenforceable provision is construed to give effect to the parties' intent to the greatest extent permitted by law.
No failure or delay by DGG in exercising any right is a waiver of that right. Sections 8 through 16, 19, and 20 survive the Event.

Part B
Terms and conditions of participation
Completing registration for the Mining Forums enters the registering company into an agreement with Denver Gold Group, Inc. on these terms and conditions, in addition to the registration terms in Part A that bind each of its attendees. Fees, delegate allowances and the refund schedule are declared upon registration and form part of that agreement. See also the privacy policy.
1Definitions
"DGG" means Denver Gold Group, Inc. "Forum" means the Mining Forum named on the invoice and any rescheduled, relocated, or substituted event. "Company" means the entity named on the invoice. "Agreement" and "Participation Agreement" mean the agreement between DGG and the Company for participation in the Forum, which is entered into upon completion of registration for the Forum and consists of these terms and conditions, the completed registration, including the fees and the refund schedule declared upon registration, and the invoice. "Website" means https://www.denvergold.org. "Convention Facility" means the venue at which the Forum is held. "Indemnified Parties" means DGG and its directors, officers, employees, agents, affiliates, and representatives, together with the Convention Facility and the Facility Lessor and their respective directors, officers, employees, and agents.
2Transfer and assignment
Event participation, in whole or in part, may not be transferred or assigned by the Company without the written consent of DGG, other than delegate substitutions permitted under the attendee and delegate fee terms declared upon registration.
3Named participant
Event participation is limited to the company named on the invoice. Participation may not be extended to subsidiaries, affiliates, or related entities, whether concurrently or in substitution, without the written consent of DGG.
4Compliance
The Company shall be bound by and subject to all DGG terms and conditions, including those posted on the Website as in effect on the date of the Agreement, as well as the on-site rules and regulations of the Convention Facility and DGG. The Company agrees to comply with all applicable laws and regulations and with the reasonable orders and directives of DGG, the Convention Facility, the Facility Lessor, and any governmental authority. Failure to do so shall give DGG the right to terminate Participation and Membership without refund of any fees paid.
5Company representations
The Company represents that it has complied with all federal, state, national, and local licensing and regulatory requirements applicable to it, including disclosure provisions required by regulatory authorities, and that it will not engage in intentional misrepresentations in connection with the Forum.
6Insurance
The Company shall maintain commercial general liability insurance of not less than USD 1,000,000 per occurrence and USD 2,000,000 in the aggregate, naming DGG as an additional insured, and shall furnish a certificate of insurance on request. The Company shall at its own expense obtain any insurance it considers adequate against loss arising from the Forum being canceled, postponed, rescheduled, or relocated.
7Travel and lodging
The Company is responsible for all travel and lodging costs and arrangements, including any cancellation charges. Participants are encouraged to book within the official Forum room block. DGG is not responsible for reservations, rates, or arrangements made outside that block or with any third party.
8Facility restrictions
Nothing shall be painted or posted on, or tacked, stapled, nailed, screwed, or otherwise attached to any surface of the Convention Facility without written permission from DGG, the Convention Facility, and the Facility Lessor. The Company is responsible for any damage it causes to the Convention Facility.
10Conduct
DGG may remove from the Forum, without refund, any individual whose conduct disrupts the Forum, endangers others, or constitutes harassment of any participant, attendee, or staff member.
11Media and publicity
DGG may photograph, film, record, livestream, and broadcast the Forum in whole or in part. The Company grants DGG a perpetual, worldwide, royalty-free license to use the Company's name, logo, presentation materials, and the names, likenesses, voices, and statements of its representatives in connection with the Forum, DGG's editorial coverage, and DGG's promotional materials, without further compensation. Attendees and participants may not record, photograph, or transmit any presentation or meeting without the prior written consent of DGG and the presenting company.
12No investment advice
DGG is not a broker-dealer, investment adviser, placement agent, or underwriter, and is not registered as such in any jurisdiction. DGG does not endorse, recommend, or verify any participating company, its management, its disclosures, or its securities. Nothing at or arising from the Forum constitutes an offer to sell or a solicitation of an offer to buy any security, or investment, legal, tax, or accounting advice. Each participant and attendee is solely responsible for its own diligence and for compliance with all securities and disclosure laws applicable to it, including those governing the disclosure of material non-public information.
13Data protection
DGG processes personal data relating to the Company's representatives in accordance with its privacy policy at https://www.denvergold.org/privacy-policy/ and applicable data protection law, including, where applicable, the EU General Data Protection Regulation, the Swiss Federal Act on Data Protection and the Australian Privacy Act 1988. The Company acknowledges that the Forum's purpose is to facilitate contact between issuers and investors, and that registration and attendance data, including name, title, company, and business contact details, may be shared with other Forum participants if you have completed a 1x1 meeting with them. The Company shall ensure that its representatives have been informed of this processing, and shall handle any personal data it receives through the Forum in accordance with applicable law and solely for legitimate business purposes connected to the Forum.
14Force majeure; cancellation, postponement, and relocation
DGG shall not be liable for any failure or delay in performing its obligations due to war, civil unrest, fire, strike, labor dispute, government regulation or order, travel restriction, terrorism, public catastrophe, epidemic, pandemic, public health emergency, disease, act of God, act of public enemy, failure or unavailability of the Convention Facility, or any other cause beyond DGG's reasonable control.
If any such event prevents or materially impairs the Forum as planned, DGG may postpone, reschedule, relocate, or convert the Forum to a virtual or hybrid format, and such substitute performance shall satisfy DGG's obligations in full, with fees applied to the substituted event and no refund due.
If DGG cancels the Forum outright without substitution, DGG shall, at the Company's election, apply fees paid as a credit toward the next edition of the Forum, or refund fees paid net of DGG's documented non-recoverable costs allocable to the Company's participation. This is the Company's sole and exclusive remedy for cancellation by DGG.
Cancellation by the Company remains governed by the refund schedule declared upon registration.
15Limitation of liability
DGG's aggregate liability arising out of or relating to the Agreement or the Forum, whether in contract, tort, or otherwise, shall not exceed the fees actually paid by the Company to DGG for the Forum. In no event shall DGG or any Indemnified Party be liable for lost profits, lost business, lost investment opportunity, or any indirect, incidental, special, consequential, or punitive damages, whether or not advised of the possibility of such damages. Nothing in this section limits liability that cannot be limited under applicable law.
16Indemnification
The Company agrees to indemnify, defend, and hold harmless the Indemnified Parties from and against any and all claims, demands, suits, liability, damage, loss, costs, attorney's fees, and expenses of whatever kind or nature arising out of (a) the Company's failure to comply with the terms and conditions of the Participation Agreement, or (b) any action or failure to act of the Company or any of its officers, agents, employees, affiliates, or other representatives, including claims of damage or loss to property or harm or injury to any person. This obligation does not extend to claims arising from the negligence or willful misconduct of the Indemnified Party seeking indemnity. DGG shall give the Company prompt written notice of any claim, and DGG may participate in its defense with counsel of its own choosing at its own expense. The Company shall not settle any claim in a manner that admits liability on behalf of an Indemnified Party or imposes any obligation on it without that party's written consent.
17Governing law and venue
The Agreement is governed by the laws of the State of Colorado, without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the District Court of Jefferson County, Colorado, and of the United States District Court for the District of Colorado, and waive any objection to venue in those courts, including on grounds of forum non conveniens. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
18Notices
Notices required under the Agreement shall be in writing and delivered to DGG at 3900 S Wadsworth Blvd, Ste 455, Lakewood, CO 80235, USA and to the Company at the address on the invoice, by personal delivery, recognized international courier, or email with confirmation of receipt. Notice is deemed received on the date of delivery, or on the next business day if delivered after 5:00 p.m. local time or on a non-business day.
19Miscellaneous
The Agreement, together with the invoice and the terms incorporated by reference, constitutes the entire agreement between the parties as to its subject matter and supersedes all prior discussions and understandings. It may be amended only in writing agreed by both parties. If any provision is held unenforceable, the remainder continues in effect and the unenforceable provision shall be construed to give effect to the parties' intent to the greatest extent permitted. No failure or delay by DGG in exercising any right constitutes a waiver of that right. Sections 11 through 17 survive termination or expiration of the Agreement.
